Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of the technology infrastructure, payment orchestration, API routing, and integration solutions ("Services") provided by BloomXpe Services Pvt Ltd ("BloomXpe", "we", "us", or "our"), a company registered in India. By accessing or using our Services, you agree to be bound by these Terms.

1. Nature of Services

BloomXpe Services Pvt Ltd ("BloomXpe") is a technology infrastructure provider offering payment orchestration, API routing, and integration solutions.

BloomXpe does not hold, receive, process, or settle merchant funds.

All payment transactions occur directly between the Merchant and their selected Payment Gateway, Bank, UPI PSP, or Financial Institution. BloomXpe acts solely as a technology enablement layer facilitating connectivity and routing between merchants and their chosen financial service providers.

2. No Payment Aggregator Representation

BloomXpe is not a Payment Aggregator, Payment Gateway, Bank, NBFC, or Financial Institution as defined under any applicable Indian law or regulation.

BloomXpe does not operate escrow accounts, settlement accounts, nodal accounts, or any form of pooling accounts for merchant funds. All fund flows occur directly between the Merchant and their respective Banking or Payment Gateway Partners without BloomXpe's intermediation in the settlement process.

3. Merchant Responsibility

The Merchant is solely responsible for:

  • Maintaining valid and current agreements with Payment Gateways and Banking Partners
  • Regulatory compliance under RBI, NPCI, FEMA, IT Act, and all other applicable laws and regulations
  • Accuracy and completeness of KYC documentation submitted to respective institutions
  • The nature, legality, and quality of products and services sold through their platform
  • Ensuring all business activities comply with applicable consumer protection laws
  • Timely payment of all applicable taxes, fees, and government levies

4. Payment Gateway Approval Clause

Merchant onboarding with any Payment Gateway or Banking Partner is subject to independent underwriting and compliance review by the respective financial institution.

BloomXpe does not guarantee:

  • Approval of merchant applications by any Payment Gateway or Bank
  • Activation timelines for payment processing capabilities
  • Transaction success rates or processing speeds
  • Continued access to any specific Payment Gateway or Banking service

BloomXpe facilitates the onboarding process as a technology service only. The final decision on merchant approval rests entirely with the respective Payment Gateway or Banking Partner.

5. Connected Banking Liability Limitation

All pay-in, payout, and settlement services are governed exclusively by the respective Banking Partner's terms and conditions.

BloomXpe does not:

  • Hold, manage, or control client funds at any stage of the transaction lifecycle
  • Control, influence, or guarantee settlement timelines or schedules
  • Act as a banking intermediary, correspondent bank, or financial agent
  • Bear responsibility for fund freezes, holds, or delays initiated by Banking Partners
  • Guarantee the availability or continuity of any specific banking channel

6. Limitation of Liability

To the maximum extent permitted by applicable law, BloomXpe's total aggregate liability arising out of or in connection with these Terms or the Services shall not exceed the total platform fees actually paid by the Merchant to BloomXpe in the preceding three (3) months immediately before the event giving rise to the claim.

In no event shall BloomXpe be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, whether arising from contract, tort, negligence, strict liability, or otherwise.

7. Indemnity

The Merchant agrees to indemnify, defend, and hold harmless BloomXpe, its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

  • The Merchant's business operations, products, or services
  • Any regulatory violations or non-compliance by the Merchant
  • Chargebacks, refund disputes, or customer complaints
  • Breach of these Terms or any applicable law by the Merchant
  • Any third-party claims resulting from the Merchant's use of the Services

8. No Agency Relationship

Nothing contained in these Terms shall be construed as creating an agency, partnership, joint venture, fiduciary, or employment relationship between BloomXpe and the Merchant. Neither party has the authority to bind or obligate the other party in any manner whatsoever.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in India, India.

Before initiating any legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of thirty (30) days from the date of the written notice of dispute.

10. Modifications

BloomXpe reserves the right to modify these Terms at any time. Material changes will be communicated via email or through our platform with at least 30 days' prior notice. Continued use of the Services after changes take effect constitutes acceptance of the modified Terms.
